Terms of Service
Last updated
These Terms of Service (the "Terms") are an agreement between [Company Legal Name], which operates LiveSolN ("we", "us", or "our"), and the organisation on whose behalf you use our services ("Customer", "you", or "your"). They govern your use of the LiveSolN website at https://livesoln.com, application, crawlers, reports, alerts, and related services (together, the "Service").
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. A signed written agreement between us prevails over these Terms where they conflict.
1. Acceptance and eligibility
The Service is for business use by companies, marketing agencies, and in-house marketing teams, not for consumers or anyone under 18. If you accept these Terms for an organisation, you confirm that you have authority to bind it, and "Customer" means that organisation. If you lack that authority or do not agree to these Terms, do not use the Service.
2. The Service
LiveSolN is a cloud-hosted platform for website monitoring and search engine optimisation. Depending on your plan, you can crawl the websites you add, within your plan's page limits, and run SEO checks; connect Google Analytics properties through Google OAuth to display read-only analytics data; track keyword rankings; monitor backlinks; and receive automated reports and alerts by email. Plan features and limits are shown on our pricing page.
3. Accounts and security
Provide accurate, complete account information and keep it current. Keep your credentials confidential and promptly report any unauthorised use of your account to legal@livesoln.com. You are responsible for all activity under your account, including the actions of every team member, client, or other user you invite, and for ensuring that each complies with these Terms.
4. Free trials and evaluations
We may offer free trials, free plans, or evaluation periods, which may be limited in features or capacity and modified or withdrawn at any time. If you do not upgrade before a trial ends, access to paid features stops and we may delete the trial data after a reasonable period. Trials are limited to one per organisation unless we agree otherwise.
5. Subscriptions, fees, and payment
Paid plans are subscriptions billed monthly or annually in advance at the prices shown when you purchase, plus any add-ons or overages; if you exceed your plan limits, we may ask you to upgrade or charge for the excess at the rates shown in your account. You authorise us and our payment processor to charge your payment method when fees are due. Subscriptions renew automatically unless you cancel in your account settings before the renewal date.
Fees exclude VAT, sales tax, and similar taxes, which you must pay. We may change prices on at least 30 days' notice by email; changes apply from your next renewal after the notice period, and you may cancel before then.
Except where required by law or stated in these Terms, fees are non-refundable, including for partial periods, unused capacity, or downgrades. If fees remain unpaid 14 days after they fall due, we may suspend your access until paid and charge interest at the lower of 1.5 percent per month or the maximum lawful rate.
6. Customer content and data
You retain all rights in the websites, URLs, keywords, analytics data, reports, and other content and data you submit to or generate through the Service ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, crawl, process, transmit, and display Customer Data solely to provide, secure, and improve the Service as permitted by these Terms and our Privacy Policy, and we may use aggregated, anonymised data that does not identify you, your websites, or any individual.
You represent and warrant that you own, operate, or have the owner's express permission to monitor and have us crawl every website you add, and that crawling on your instructions breaches no law, contract, or third-party right; that you are authorised to connect each Google Analytics account and property you connect and to let us access its data; and that Customer Data is lawful, non-infringing, and not malicious, and you hold any consents data protection laws require for our processing of it. We process personal data on your behalf only on your documented instructions under our data processing agreement, available from legal@livesoln.com.
7. Acceptable use
You will not, and will not permit any third party to:
- use the Service unlawfully, for fraudulent or harmful purposes, or to send unsolicited communications or harvest personal data;
- crawl or monitor any website without authority, or use the Service to scrape third-party websites;
- circumvent plan limits, rate limits, or other technical restrictions, including by creating multiple accounts;
- reverse engineer, decompile, copy, or modify the Service, or use it to build a competing product, except as law permits;
- resell or make the Service available to third parties, except that agencies may serve their own clients as their plan permits or we agree in writing;
- place an abusive or unreasonable load on the Service or disrupt its integrity or performance; or
- introduce malware, probe our systems without written permission, or attempt to access other customers' accounts or data.
We may investigate suspected violations and act under Section 16.
8. Third-party services
The Service relies on third-party services and data, including Google (for OAuth and Google Analytics), the search engines we query for rankings, and backlink and keyword data providers. Your use of them through LiveSolN is subject to their terms, including the Google Terms of Service, which you agree to follow. We do not control these services or guarantee their availability, accuracy, or performance; they may change or discontinue their APIs, data, or terms at any time, affecting Service features, and we are not liable for any resulting loss.
9. Our intellectual property and feedback
The Service, including its software, crawlers, checks, scoring methodologies, interface, and documentation, and all related intellectual property rights, belongs to LiveSolN and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription for your internal business and, where your plan allows, to serve your clients; all other rights are reserved. We may use any feedback you give us for any purpose without obligation to you.
10. Confidentiality
Each party may receive non-public information from the other that is marked or would reasonably be understood to be confidential ("Confidential Information"); Customer Data is your Confidential Information. The recipient will use it only to perform under these Terms, protect it with at least reasonable care, and disclose it only to personnel and advisers bound by confidentiality who need to know it. These obligations do not cover information that is public through no fault of the recipient, already known to it, independently developed, or rightfully received from a third party, or legally required disclosure, and survive for three years after termination.
11. Service availability, maintenance, and changes
We aim for continuous availability but do not guarantee uninterrupted access; the Service may be unavailable during scheduled maintenance, announced in advance where practical, or emergency maintenance and events outside our reasonable control. We may add, modify, or remove features; if a change materially reduces a paid plan's core functionality, we will give at least 30 days' notice by email or in the Service, except where security, legal, or third-party reasons require less, and if you object you may terminate and receive a pro-rated refund of prepaid fees.
12. Beta features
Features labelled alpha, beta, preview, or early access ("Beta Features") are provided for evaluation "as is" without warranties, may be less reliable or supported than the rest of the Service, and may be changed or withdrawn at any time; our liability for them is excluded to the fullest extent permitted by law.
13. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and to the fullest extent permitted by law we disclaim all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will improve your search rankings, traffic, conversions, revenue, or any other business outcome; SEO recommendations are automated suggestions, not professional advice. Rankings, backlink data, analytics figures, and other third-party information may be incomplete, estimated, delayed, or inaccurate, and search engine algorithms change without notice. We do not warrant that the Service will detect every issue with your websites or that alerts and crawls will always run on time.
14. Limitation of liability
To the fullest extent permitted by law, LiveSolN and its officers, employees, suppliers, and licensors are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, business, goodwill, or data, arising out of or in connection with these Terms or the Service.
Our total aggregate liability under or in connection with these Terms or the Service, whether in contract, tort (including negligence), or otherwise, will not exceed the fees you paid LiveSolN in the 12 months preceding the event giving rise to the claim, or 100 US dollars for free plans and trials. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
15. Indemnification
You will defend, indemnify, and hold harmless LiveSolN and its officers, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your Customer Data; your use of the Service in breach of these Terms or applicable law; your crawling or monitoring of any website, or connection of any Google Analytics account or other third-party service, without proper authority; or any dispute between you and your clients or end users. We will notify you promptly of any claim and let you control its defence, provided you do not bind us without our written consent.
16. Term, termination, and effect of termination
These Terms apply from when you first accept them or use the Service until terminated. You may cancel your subscription or close your account at any time in your account settings or by emailing legal@livesoln.com, effective at the end of the current billing period.
We may suspend or terminate your access immediately if you materially breach these Terms (including Sections 5 and 7), your use poses a security or legal risk, or the law requires it; where practical, we will first give you an opportunity to cure the breach. We may also terminate for convenience on 30 days' notice, refunding prepaid fees for the remaining period.
On termination your right to use the Service ends. Unless we terminated for your breach, you may export your Customer Data for 30 days afterwards using the Service's export tools; we then delete or anonymise it as described in our Privacy Policy, except data we must retain by law or that persists briefly in backups. Sections 9, 10, 13, 14, 15, and 17 and any fees owed survive termination.
17. Governing law and dispute resolution
These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of [Governing Law Jurisdiction], whose courts have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or Confidential Information. Before starting formal proceedings, you agree to contact us at legal@livesoln.com describing the dispute so that both parties can try in good faith to resolve it within 30 days.
18. General provisions
- Entire agreement. These Terms, our Privacy Policy, and any order form or data processing agreement form the entire agreement regarding the Service and supersede prior agreements.
- Assignment. You may not assign these Terms without our written consent; we may assign them in a merger, acquisition, or asset sale.
- Severability. If any provision is unenforceable, the rest remains in force.
- Waiver. Failure or delay in enforcing any provision is not a waiver of it.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, labour disputes, or internet or third-party service failures, except payment obligations.
- Notices. Send notices to LiveSolN by email to legal@livesoln.com or by post to [Company Legal Name], [Registered Address]; we will notify you by email to your account address or through the Service.
19. Changes to these Terms
We may update these Terms, changing the "last updated" date above when we do. For material changes we will give at least 30 days' notice by email or through the Service; if you do not agree, cancel before the change takes effect, as continued use afterwards means acceptance.
